CLIPEO CREATOR TERMS & CONDITIONS
Effective Date: October 23, 2026
Last Updated: October 23, 2026
These Creator Terms & Conditions (“Creator Terms”) constitute a legally binding agreement between you (“Creator,” “you,” or “your”) and Smart Click Digital, LLC, a California limited liability company doing business as Clipeo (“Clipeo,” “Company,” “we,” “us,” or “our”).
IMPORTANT: These Creator Terms contain provisions concerning intellectual property rights, indemnification, limitations of liability, and binding individual arbitration. Please read them carefully before using Clipeo.
1. Acceptance of Terms
By registering for a Creator account, submitting information, uploading content, accepting these Creator Terms through our registration process, or otherwise accessing the Platform, you agree to be bound by these Creator Terms, our general Terms & Conditions, and our Privacy Policy, as applicable.
If you do not agree, you may not use the Platform.
These Creator Terms govern both marketplace participation and eligibility for agency-managed projects.
Additional written agreements may govern individual projects, campaigns, content licensing, payments, and other professional engagements.
Where a signed project-specific agreement conflicts with these Creator Terms regarding that project, the project-specific agreement controls to the extent of the conflict, unless it expressly provides otherwise.
2. Clipeo's Business Models
Clipeo operates through two principal business models.
2.1 Marketplace Services
The “Marketplace” enables independent Creators to showcase their work, display professional information, establish rates, and connect with Brands seeking creative services.
In Marketplace transactions:
- Creators and Brands independently negotiate and establish their agreements.
- Creators may establish their own prices, packages, and service offerings.
- Brands and Creators determine compensation, deadlines, deliverables, and licensing rights.
- Payments are currently arranged directly between Creators and Brands.
- Clipeo is not a party to the underlying Creator–Brand contract unless expressly agreed otherwise in writing.
Clipeo does not guarantee that Marketplace introductions will result in engagements, payment, or other commercial results.
Clipeo does not negotiate, enforce, supervise, or resolve independent Marketplace contracts.
2.2 Agency Services
Clipeo may also provide managed Creator sourcing, recruitment, production coordination, campaign management, or other agency services to Brands (“Agency Services”).
For Agency Services, Clipeo may:
- Identify and recruit Creators.
- Select Creators for specific campaigns.
- Negotiate compensation and project requirements.
- Contract directly with Creators.
- Establish production deadlines and deliverables.
- Coordinate production, communication, revisions, and content delivery.
- Review deliverables for compliance with an agreed project brief.
- Pay Creators directly where Clipeo is the contracting and paying party.
- License or deliver approved content to Brands under applicable agreements.
Participation in the Marketplace does not guarantee selection for Agency Services.
An Agency engagement exists only when a Creator and Clipeo enter into a separate written project agreement or otherwise establish an enforceable agreement for specified services.
Simply receiving an invitation, communicating with Clipeo, or appearing in Creator search results does not create a paid engagement.
2.3 Separate Responsibilities
Clipeo's role and responsibilities depend on the applicable business model.
For independent Marketplace agreements, Clipeo is not responsible for a Brand's contractual obligations to a Creator.
For Agency engagements in which Clipeo directly contracts with a Creator, Clipeo is responsible for the contractual commitments it expressly undertakes, subject to the applicable project agreement and law.
Nothing in these Creator Terms eliminates obligations Clipeo must fulfill under its own contracts or applicable law.
3. Eligibility
Creators must:
- Be at least 18 years old.
- Have legal capacity to enter into binding agreements.
- Reside in a country currently approved for Creator registration.
- Submit truthful, current, and complete information.
- Possess the rights necessary to submit and license their content.
- Comply with applicable law and Platform policies.
Clipeo currently accepts eligible Creators residing in the United States, Canada, and the Philippines.
Clipeo may expand or restrict geographic availability as permitted by law.
We reserve the right to reject applications, restrict features, or suspend accounts when necessary for legitimate operational, legal, security, or policy reasons.
4. Creator Accounts and Representations
Creators are responsible for the accuracy of their profiles and submitted materials.
You represent and warrant that:
- Your identity and professional information are truthful.
- Your portfolio accurately represents your work or properly identifies the work of others.
- Your published rates and qualifications are not intentionally misleading.
- Your social media and audience statistics are accurately represented.
- You have authority to enter into professional agreements.
- Your Platform activities comply with applicable laws.
You must protect your login credentials and promptly report suspected unauthorized access.
Clipeo may require additional verification at its discretion.
Unless specifically disclosed for an account, Clipeo does not currently guarantee that a Creator's identity, portfolio, follower statistics, professional credentials, or experience has been independently verified.
Any future identity verification does not constitute an endorsement or guarantee of professional performance.
5. Creator Information and Brand Visibility
Creators may submit:
- Names and professional biographies.
- Email addresses and phone numbers.
- General geographic locations.
- Social media links and handles.
- Portfolio videos and photographs.
- Pricing and professional service descriptions.
- Experience and qualifications.
- Audience statistics and analytics.
- Other information requested through the Platform.
Creators acknowledge that submitted profile information, including email addresses and phone numbers, may be accessible to registered Brands and other authorized Platform users.
Residential street addresses are not intended to be included in Brand-visible Creator profiles.
Clipeo may use Creator information for legitimate Platform operations, Marketplace discovery, Agency Services, and other purposes described in its Privacy Policy.
Creators understand that information shared with other users may be copied or retained outside Clipeo's control.
Clipeo does not guarantee that third parties will use voluntarily shared contact information appropriately.
Clipeo remains responsible for its own handling of personal information to the extent required by applicable privacy law.
6. Ownership of Creator Content
“Creator Content” includes uploaded videos, photographs, images, audio, text, portfolios, and other materials submitted by Creators.
Creators retain ownership of their original Creator Content, subject to any preexisting third-party rights or written agreements.
Uploading content does not automatically transfer copyright ownership to Clipeo or a Brand.
However, uploading content grants the licenses described in these Creator Terms.
You represent that you possess the necessary rights, permissions, consents, licenses, and releases to upload and authorize the applicable uses of your Creator Content.
You are responsible for copyright, music, trademark, privacy, publicity, confidentiality, and contractual restrictions affecting your content.
7. License to Clipeo
By uploading Creator Content, you grant Clipeo a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license, limited to rights you own or are authorized to license, to:
- Host, store, copy, encode, and display the content.
- Make the content available to Brands for evaluation.
- Generate previews, thumbnails, and technical adaptations.
- Display content in Creator profiles, discovery tools, and recommendations.
- Promote Clipeo and its Marketplace or Agency Services.
- Feature content in Clipeo websites, advertisements, presentations, email campaigns, and social media.
- Use reasonable excerpts and adaptations for Platform-related promotional purposes.
This license does not transfer ownership of the underlying content.
Clipeo may sublicense limited rights as reasonably necessary to service providers and promotional partners acting in connection with the authorized uses.
You will not receive separate compensation for these Platform-related uses unless otherwise agreed in writing.
You must not upload content for which you lack the rights necessary to permit these uses, including previously produced Brand content with restricted advertising or licensing rights.
The license generally remains effective while content is maintained on the Platform and for a reasonable period afterward for existing promotional materials, lawful records, backups, and other legally justified purposes.
Clipeo will discontinue new promotional uses following content removal as reasonably practicable, subject to applicable law and preexisting distributions.
Agency-project deliverables may be subject to different and broader licensing provisions established in the applicable project agreement.
8. Brand Evaluation Rights
Brands accessing Marketplace portfolios receive only limited permission to view Creator Content for legitimate professional evaluation.
Unless separately authorized by the rights holder, Brands may not:
- Download or redistribute portfolio content.
- Use uploaded content in advertising.
- Publish or repost Creator videos.
- Sell or sublicense Creator Content.
- Incorporate portfolio materials into commercial campaigns.
- Represent Creator Content as their own.
- Create commercial derivative works from portfolio materials.
Commercial usage requires a separate agreement granting appropriate rights.
Clipeo cannot guarantee that users will comply with these restrictions or prevent all unauthorized copying or misuse.
These restrictions do not limit rights independently held by a Brand under an existing agreement with a Creator.
9. Previously Created Content and Third-Party Rights
Creators may showcase work produced for previous clients only when authorized to do so.
This includes work containing Brand logos, music, products, third-party footage, and identifiable individuals.
Creators are responsible for obtaining necessary permissions and complying with confidentiality, exclusivity, copyright, publicity, and other applicable restrictions.
Permission to display previous work does not necessarily include permission for Clipeo to use that work in paid advertisements.
Creators must ensure that all uploads support the licenses granted under these Creator Terms.
Clipeo may request proof of authorization and may remove or restrict materials when necessary to address suspected legal violations or Platform risks.
10. Independent Marketplace Transactions
Marketplace agreements are solely between the applicable Creator and Brand.
Those parties independently determine:
- Compensation.
- Deliverables.
- Deadlines.
- Revisions.
- Ownership.
- Content usage rights.
- Refunds.
- Cancellation terms.
- Confidentiality.
- Taxes and expenses.
- Payment arrangements.
Clipeo is not responsible for negotiating, enforcing, or administering independent Marketplace agreements.
Clipeo does not guarantee payment, Brand legitimacy, Creator performance, project results, or enforcement of agreed terms.
Creators are encouraged to obtain written agreements before undertaking work.
Any dispute concerning an independent Marketplace agreement must be addressed directly between the parties or through their chosen legal remedies.
Clipeo has no contractual duty to mediate, arbitrate, investigate, or resolve such disputes, except for separate legal obligations that may apply to Clipeo itself.
11. Agency Engagements
Clipeo may invite selected Creators to participate in managed campaigns or other Agency projects.
Participation is voluntary unless otherwise required by an existing enforceable agreement.
Each engagement should be documented in a separate written agreement, statement of work, campaign brief accepted as a contract, or comparable enforceable instrument (“Agency Project Agreement”).
An Agency Project Agreement should establish, as applicable:
- The contracting entity.
- Scope of services.
- Project specifications.
- Compensation and currency.
- Payment method and schedule.
- Deliverables and file formats.
- Deadlines and milestones.
- Revision requirements.
- Review and acceptance procedures.
- Cancellation provisions.
- Expenses and reimbursements.
- Intellectual property rights.
- Content licensing and permitted advertising uses.
- Exclusivity obligations.
- Confidentiality and Brand requirements.
- Applicable tax documentation.
- Responsibility for production costs.
Unless and until an Agency Project Agreement or other enforceable commitment is established, Clipeo has no obligation to offer a project, reserve work, or compensate a Creator merely for being considered.
Nothing in these Creator Terms permits Clipeo to withhold compensation that it is legally or contractually required to pay.
12. Agency Deliverables and Performance
Creators who accept Agency engagements agree to perform the agreed services professionally and in accordance with applicable project specifications.
Creators are responsible for:
- Delivering the agreed materials.
- Meeting contractual deadlines.
- Following lawful and agreed Brand guidelines.
- Providing accurate production updates when required.
- Obtaining necessary third-party permissions.
- Complying with applicable advertising requirements.
- Avoiding unauthorized inclusion of copyrighted materials.
- Performing agreed revisions.
- Maintaining the confidentiality of nonpublic campaign information.
Clipeo may review Agency deliverables for compliance with an agreed project brief.
If deliverables materially fail to meet agreed contractual specifications, Clipeo may request revisions or exercise the remedies provided by the Agency Project Agreement and applicable law.
Any revision limits, rejection criteria, payment deductions, cancellation rights, or similar consequences must comply with applicable law and the parties' agreement.
13. Agency Payments
When Clipeo directly contracts with and agrees to pay a Creator, payment obligations will be governed by the applicable Agency Project Agreement and mandatory law.
Such an agreement may define milestones, deliverable acceptance, invoices, payment dates, currencies, and authorized expenses.
Clipeo is responsible for making payments it has legally and contractually undertaken to make.
Creators are responsible for providing accurate payment and legally required tax information.
The allocation of payment processing charges, currency conversion fees, and similar transaction costs must be identified in the applicable agreement where required.
Clipeo does not guarantee compensation outside an accepted engagement.
Payment terms must comply with applicable wage, contractor-payment, and other mandatory laws.
Marketplace payment disclaimers do not apply to payment obligations expressly undertaken by Clipeo in an Agency engagement.
14. Agency Intellectual Property Rights
Creator portfolio content and Agency-project deliverables are legally distinct.
Portfolio content remains subject to the licenses established in Sections 6–8.
Intellectual property rights in deliverables specifically commissioned through Agency Services will be governed by the applicable Agency Project Agreement.
Depending on that agreement, Creators may be required to grant Clipeo or the Brand:
- Commercial usage licenses.
- Paid advertising rights.
- Rights to edit and adapt content.
- Social media publishing rights.
- Defined license durations and territories.
- Exclusivity rights.
- Ownership assignments where legally permitted.
- Appropriate likeness and publicity permissions.
No automatic transfer of ownership of commissioned deliverables is created solely through these Creator Terms.
Any work-made-for-hire designation or copyright assignment must satisfy applicable legal requirements.
Creators warrant that they will not knowingly supply deliverables containing unauthorized third-party materials or rights restrictions inconsistent with the applicable Agency Project Agreement.
15. Creator Classification and Taxes
Creators participating in independent Marketplace transactions are responsible for determining their legal and tax obligations in connection with their separate Brand relationships.
For Agency engagements, the parties' legal relationship and required payment, withholding, reporting, insurance, and employment obligations will be determined under applicable law and the actual circumstances of the engagement.
Where legally appropriate, an Agency Project Agreement may identify a Creator as an independent contractor.
Such a designation does not override applicable worker-classification laws or convert an employee into an independent contractor where the law requires employee status.
Each party is responsible for its legally applicable tax and reporting obligations.
Nothing in these Creator Terms waives minimum wage, overtime, expense reimbursement, workers' compensation, or other mandatory employment rights where applicable.
16. No Guarantee of Opportunities or Income
Clipeo does not guarantee that any Creator will:
- Receive Brand inquiries.
- Secure Marketplace engagements.
- Be selected for Agency projects.
- Earn a particular amount.
- Achieve a specific search ranking.
- Receive ongoing assignments.
- Obtain any particular commercial result.
Clipeo may select Creators for Agency projects based on legitimate business criteria, subject to applicable law and any existing contractual obligations.
No minimum volume of work or continuing relationship is promised unless expressly agreed in writing.
17. Creator Conduct
Creators must not:
- Commit fraud or impersonate others.
- Submit materially misleading professional information.
- Upload unlawful or infringing content.
- Violate third-party privacy or publicity rights.
- Disclose confidential information without authorization.
- Engage in harassment or discrimination prohibited by law.
- Manipulate Platform analytics or engagement statistics.
- Access another user's account without authorization.
- Interfere with Platform security.
- Scrape or systematically collect Platform information without authorization.
- Use the Platform for unlawful solicitation or spam.
- Violate applicable advertising, consumer-protection, or intellectual property laws.
Clipeo may remove content or restrict accounts when necessary to address violations, security concerns, or legal risks.
18. Advertising and Endorsement Compliance
Creators are responsible for complying with applicable advertising and endorsement laws.
Where required, Creators must clearly disclose material connections with Brands, including compensation, gifts, affiliate relationships, and other relevant benefits.
Creators must not make deceptive or unsubstantiated claims about products or services.
For Agency engagements, the parties' respective advertising compliance responsibilities may be further defined in the Agency Project Agreement.
Nothing in these Creator Terms eliminates legal responsibilities imposed on Clipeo or Brands by applicable advertising law.
19. Content Moderation and Account Termination
Subject to applicable law, Clipeo may:
- Remove or restrict Creator Content.
- Limit profile visibility.
- Suspend Platform access.
- Disable selected features.
- Investigate suspected violations.
- Reject new account registrations.
- Terminate accounts for legitimate legal, safety, operational, or policy reasons.
- Cooperate with lawful legal processes.
Clipeo may act without advance notice when reasonably necessary and legally permitted.
Termination of Platform access does not automatically terminate an active Agency Project Agreement or extinguish accrued payment obligations.
The effect of termination on an active Agency engagement will be determined by its project-specific agreement and applicable law.
20. Marketplace Disputes and Agency Disputes
20.1 Marketplace Disputes
Creators and Brands are solely responsible for independently resolving disputes arising from contracts between them.
Clipeo does not provide payment collection, legal representation, mediation, or contractual enforcement services for independent Marketplace transactions.
Clipeo may independently moderate accounts or respond to legal notices without assuming responsibility for resolving underlying commercial disputes.
20.2 Agency Disputes
Disputes arising from an agreement directly between Clipeo and a Creator are governed by that agreement, these Creator Terms where applicable, and mandatory law.
The applicable project agreement may establish notice, cure, negotiation, and dispute-resolution procedures.
Clipeo cannot disclaim obligations for which it is legally responsible merely because the engagement involves a third-party Brand.
21. Copyright Complaints
Clipeo respects intellectual property rights.
Creators must not upload content without sufficient authorization.
Clipeo may remove or restrict allegedly infringing material in accordance with applicable law.
Where relevant, Clipeo will maintain procedures required to qualify for available copyright safe-harbor protections, including legally required notice-and-takedown and repeat-infringer procedures.
Copyright notices and counter-notifications must satisfy applicable legal requirements.
Clipeo does not act as a Creator's personal copyright enforcement representative.
22. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM AND GENERAL MARKETPLACE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
CLIPEO DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT TO THE EXTENT LAWFULLY PERMITTED.
CLIPEO DOES NOT GUARANTEE UNINTERRUPTED PLATFORM ACCESS, ERROR-FREE OPERATION, SUCCESSFUL BUSINESS INTRODUCTIONS, THIRD-PARTY PAYMENT, OR PROTECTION AGAINST EVERY UNAUTHORIZED USE OF CREATOR CONTENT.
Agency-specific services, deliverables, and contractual commitments are governed by the applicable Agency Project Agreement.
These disclaimers do not negate express contractual commitments or nonwaivable statutory obligations.
23. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SMART CLICK DIGITAL, LLC, CLIPEO, AND THEIR RESPECTIVE OFFICERS, MEMBERS, MANAGERS, EMPLOYEES, AGENTS, CONTRACTORS, AND ASSIGNS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM THE PLATFORM OR THESE CREATOR TERMS.
Such damages may include lost business opportunities, lost profits, business interruption, reputational harm, and losses caused by third-party conduct.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CLIPEO'S TOTAL AGGREGATE LIABILITY ARISING FROM GENERAL PLATFORM AND MARKETPLACE SERVICES UNDER THESE CREATOR TERMS SHALL NOT EXCEED US $100.
AGENCY PROJECT EXCEPTION: The foregoing $100 cap does not limit compensation, wages, reimbursement, or other payment obligations that Clipeo is legally required or has expressly contracted to pay under an Agency Project Agreement.
Liability arising from a separate Agency Project Agreement will be governed by that agreement and applicable law, including any valid limitations expressly established in that agreement.
Nothing in this section excludes or limits liability that cannot lawfully be excluded, including liability for fraud, willful misconduct, or other nonwaivable obligations.
24. Creator Indemnification
To the maximum extent permitted by applicable law, Creators agree to defend, indemnify, and hold harmless Smart Click Digital, LLC, Clipeo, and their respective officers, members, managers, employees, contractors, agents, and permitted assigns from third-party claims, damages, liabilities, judgments, settlements, and reasonable legal expenses arising from:
- Content submitted by the Creator that violates third-party rights.
- Copyright, trademark, privacy, or publicity violations attributable to the Creator.
- Materially false or misleading Creator representations.
- Breaches of these Creator Terms.
- Unlawful or fraudulent Creator conduct.
- The Creator's violation of legally applicable advertising requirements.
- Creator–Brand disputes to the extent caused by the Creator's own conduct.
- Violations of obligations under an Agency Project Agreement, where indemnification is permitted by law and consistent with that agreement.
These obligations do not extend to claims to the extent resulting from Clipeo's own unlawful conduct or responsibility that cannot legally be transferred to the Creator.
Clipeo will provide reasonably prompt notice of a covered claim and reasonable opportunity to participate in the defense.
No settlement imposing duties or admissions on Clipeo may be entered into without its prior written consent, not to be unreasonably withheld.
Any project-specific indemnification provisions will be governed by the applicable Agency Project Agreement to the extent they expressly supersede these terms.
25. Dispute Resolution and Individual Arbitration
PLEASE READ CAREFULLY. THIS SECTION MAY REQUIRE CERTAIN CLAIMS TO BE RESOLVED THROUGH BINDING INDIVIDUAL ARBITRATION INSTEAD OF COURT.
25.1 Informal Resolution
Before initiating arbitration, the party raising a dispute must provide written notice describing the claim and requested relief.
Notices to Clipeo must be sent to yuriychernin@gmail.com.
The parties will attempt in good faith to resolve the dispute informally for 30 days, unless applicable law or urgent circumstances permit earlier proceedings.
25.2 Arbitration Agreement
To the maximum extent permitted by law, disputes arising from these Creator Terms or general Platform use between a Creator and Clipeo will be resolved through final and binding individual arbitration administered by the American Arbitration Association under its applicable rules.
The Federal Arbitration Act governs the arbitration agreement to the extent applicable.
Applicable consumer, commercial, international, or other arbitration rules will be determined by the nature of the dispute and governing law.
Hearings may be conducted remotely where authorized by the applicable rules and law.
25.3 Exceptions
Mandatory arbitration does not apply to:
- Eligible individual small-claims disputes.
- Claims prohibited from mandatory arbitration by applicable law.
- Certain requests for provisional judicial relief.
- Claims and remedies that cannot lawfully be subjected to these procedures.
- Claims governed by a valid and superseding dispute-resolution provision in a separate Agency Project Agreement.
Employment-related and statutory claims are subject to any additional restrictions or protections required by applicable law.
25.4 Individual Proceedings
To the maximum extent permitted by law, each party agrees to bring claims individually rather than as a class or collective action.
This provision does not waive nonwaivable rights to public injunctive relief or representative proceedings.
Where a particular waiver is legally unenforceable, the affected claim or remedy will proceed in the appropriate forum as required by law, while the remaining provisions will continue to apply where permissible.
25.5 Arbitration Opt-Out
A Creator may opt out of this arbitration agreement within 30 days after first accepting these Creator Terms by sending written notice to yuriychernin@gmail.com.
The notice must identify the Creator's name and account email address and clearly state the decision to opt out.
25.6 Non-Arbitrable Claims
Subject to applicable mandatory jurisdiction and venue laws, non-arbitrable disputes will be heard in courts of competent jurisdiction in California.
26. Governing Law
These Creator Terms are governed by California law, except where mandatory laws of another jurisdiction apply or the Federal Arbitration Act governs arbitration.
The choice of California law does not eliminate mandatory rights or remedies available to Creators under otherwise applicable law.
A separate Agency Project Agreement may specify applicable legal terms consistent with mandatory law.
27. Privacy and International Data Processing
Personal information is handled as described in Clipeo's Privacy Policy:
https://clipeo.app/privacy-policy
Clipeo may process Creator information to operate the Marketplace, facilitate Brand discovery, evaluate potential Agency opportunities, administer accepted projects, manage payments, and comply with applicable legal obligations.
Personal information may be processed across borders when lawfully permitted and subject to any required safeguards.
Creators retain privacy rights provided by applicable law, including rights concerning access, correction, and deletion where applicable.
Agency engagements involving additional identity, tax, payment, or verification information may require supplemental privacy notices.
28. Future Platform Features
Clipeo may introduce features including payment facilitation, identity verification, enhanced Creator discovery, and additional Agency Services.
New features may be governed by supplemental agreements or policies.
Introducing such features does not retroactively change existing obligations except as permitted by law and valid agreement.
29. Changes to Terms
Clipeo may revise these Creator Terms for legitimate business, legal, operational, technical, or security reasons.
Material changes will be communicated with notice and consent where required by applicable law.
Updated terms generally apply prospectively and will not override existing Agency Project Agreements without a legally effective modification.
If you do not agree to updated terms, you may discontinue Platform use, subject to existing lawful contractual obligations.
30. General Legal Provisions
Entire Agreement. These Creator Terms, applicable general Terms & Conditions, Privacy Policy, and accepted Agency Project Agreements collectively govern the relevant relationships, subject to their respective scopes and precedence.
Severability. If a provision is unenforceable, the remaining provisions continue to the extent permitted by law.
No Waiver. Failure to enforce a provision does not permanently waive enforcement rights.
Assignment. Clipeo may assign these Creator Terms in connection with a lawful corporate transaction, subject to applicable restrictions.
Force Majeure. Clipeo is not responsible for failures caused by circumstances beyond its reasonable control, except where law or a binding agreement requires otherwise.
Survival. Accrued obligations and provisions relating to intellectual property, indemnification, dispute resolution, and other provisions intended to survive termination will remain effective to the extent legally permissible.
No Guaranteed Engagement. Creating a Creator account does not establish an employment, Agency engagement, or continuing professional relationship with Clipeo.
