Terms and Conditions
Clipeo helps creators and brands find each other and discuss collaborations. Using Clipeo is currently free; any collaboration and payment are arranged directly between its participants.
1. About these Terms
These Terms and Conditions ("Terms") govern your use of Clipeo at clipeo.app and its related applications and services (the "Platform"). Clipeo is operated by Yuriy Chernin, United States ("Clipeo," "we," "us," or "our"). Contact: yuriychernin@gmail.com.
These Terms are the agreement between you and the operator for use of the Platform. When you accept these Terms during registration or another acceptance flow, you agree to them. If you use the Platform on behalf of a business, "you" also includes that business, and you confirm your authority to act for it. If you do not agree, do not create or continue using an account. Our Privacy Policy explains how personal information is handled; accepting these Terms does not itself give consent to optional advertising cookies.
2. A free introduction platform
Clipeo provides tools such as creator profiles, portfolios, brand workspaces, campaign listings, applications, package listings and messaging to help creators and brands connect. Features and availability may differ by account type and account status.
Clipeo currently charges neither creators nor brands any platform fee, commission or subscription fee. We do not collect, process or hold transaction payments and do not provide escrow, payout, insurance, payment protection, refund administration or a guarantee of delivery. A price, budget, order, booking or payment-related label in the interface describes a proposed collaboration or its recorded status; it is not evidence that Clipeo has received, protected or paid any money.
Creators and brands contract directly with each other and arrange any compensation, invoices and payments between themselves. Using the Platform does not make Clipeo your employer, agent, business partner or a party to a creator-brand agreement. There is no requirement to purchase a paid Clipeo service or route a collaboration payment through Clipeo.
3. Eligibility and account security
You must be at least 18 years old and have legal capacity to enter into these Terms. If the age of legal majority where you live is higher, you must meet that age. The Platform is intended for professional creator-brand collaborations.
Provide accurate account and profile information, keep it current, and use only accounts and workspaces you are authorized to control. Keep your credentials confidential. Take reasonable steps to protect your account and tell us promptly if you suspect unauthorized access. Do not impersonate someone else, misrepresent business authority or transfer an account to another person without our permission. You are responsible for your authorized activities and for others you authorize to act through your account, subject to applicable law.
4. Your collaboration agreement
Before starting work or sending products or money, creators and brands should agree in writing on the brief, deliverables, compensation or product exchange, currency, taxes, payment timing, deadlines, revisions, cancellation, shipping and returns, confidentiality, and the content rights being licensed or transferred. Include advertising channels, territory, duration, paid advertising, exclusivity and permission to use a creator’s name, image or social account where relevant.
Each participant is responsible for checking the other participant’s identity, authority, suitability and agreed terms. A listing, application, review status or profile badge is not a guarantee of identity, quality, legal compliance, payment or campaign results. Whether a direct agreement is formed depends on the participants’ agreement and applicable law.
Participants are responsible for their own performance, products, legally required disclosures, invoicing, tax obligations and any employment or contractor obligations that apply to their relationship. Any compensation dispute, cancellation or refund between them is governed by their agreement and applicable law. These Terms do not remove those rights or obligations.
5. Your content and intellectual property
You keep the ownership rights you have in your profiles, portfolios, messages, campaign materials and other content. You must own or have permission to share that content and grant the limited rights below. Obtain necessary permissions for music, images, logos, identifiable people and other third-party material. Do not upload confidential material unless you are authorized to disclose it to the intended recipients.
You give Clipeo a non-exclusive, worldwide, royalty-free license to host, store, copy, transmit, display and technically adapt your submitted content only as needed to provide and secure the Platform and show it to its intended audience. Technical adaptations include formatting, resizing and previews. We may allow service providers to exercise these rights only to support those purposes. Private messages are not licensed for public promotion.
This license lasts while the content is available on the Platform and, after removal, only to the extent necessary for restricted backups, security, legal obligations or the handling of existing reports, as described in the Privacy Policy. These Terms do not grant us a right to sell your content or use it in unrelated advertising; a separate permission would be needed.
Viewing a portfolio, starting a conversation, applying to a campaign or using a package feature does not automatically transfer content ownership or commercial usage rights to a brand or another user. Those rights must be agreed directly with the rights holder. Use other participants’ materials only to evaluate or carry out a permitted collaboration and within their permission. Do not reuse them for advertisements, resale or AI training without appropriate authorization.
6. Acceptable use
Use Clipeo lawfully and respectfully. Do not:
- Post fraudulent or misleading profiles, listings, applications or messages; fabricate endorsements, credentials or engagement; impersonate others; or solicit scams.
- Harass, threaten, exploit, discriminate unlawfully, distribute illegal sexual content or disclose another person’s private information without a lawful basis.
- Infringe copyright, trademarks, privacy, publicity rights or other rights, or request unlawful or deceptive advertising.
- Send spam or malware, collect other users’ personal information for unrelated marketing, or scrape the Platform through unauthorized automation.
- Bypass access controls, access accounts or data without authorization, manipulate reports or review processes, or interfere with the Platform’s security or availability.
These restrictions do not limit activities that applicable law expressly permits. Report a suspected security problem privately to our contact address and avoid accessing or disclosing other users’ information.
7. Advertising and honest endorsements
Creators and brands must follow advertising, consumer-protection and relevant social-platform rules. Sponsored endorsements must clearly disclose a material connection where required, including payment, free products or other benefits. Statements and reviews must reflect honest experience; do not fabricate product claims, promise unsupported results or condition a review’s compensation on a required positive or negative opinion.
Brands are responsible for the legality and accuracy of their briefs and product claims. Creators are responsible for the content they publish and required disclosures. Agree who will check permissions and compliance before publication. For U.S. guidance, see the FTC’s influencer disclosure guidance.
8. Confidentiality and personal information
Use non-public briefs, messages and collaboration information only for the purpose for which they were shared. Do not disclose information marked confidential, or reasonably understood to be confidential, without permission, except as needed for authorized advisers, safety reporting or a legal requirement. This does not cover information already lawfully public, independently developed or lawfully received from another source.
Respect other participants’ personal information and use it only for the collaboration or another lawful purpose they authorize. Do not publish private conversations or contact details without a lawful basis. Additional confidentiality and data-protection duties may be agreed directly between participants.
9. Reports, moderation and copyright complaints
Use available in-app report and block actions, or contact yuriychernin@gmail.com, to report abuse, unlawful content or infringement. Include the relevant profile, campaign, message or content location and enough information to understand the issue. For copyright complaints, identify the protected work and the disputed material, describe your ownership or authority, and include your contact information and a statement that your report is made in good faith.
We may review reports and relevant account activity, remove or restrict content, or suspend or terminate access when reasonably necessary to address a violation, fraud, security risk, legal requirement or harm to others. Repeated infringement may lead to account termination. We do not promise to pre-screen every user or item of content. Where reasonably possible and legally permitted, we will explain a restriction and provide an opportunity to contact us for review. Urgent protective action may occur first.
Reporting a commercial disagreement does not appoint Clipeo to decide contractual liability or issue a binding settlement. Participants should resolve their direct agreements with each other; safety and legal reports remain welcome.
10. Ending use and deleting an account
You may stop using Clipeo at any time. Use the available account controls or contact yuriychernin@gmail.com to request account deletion. Creators can also use the authenticated mobile flow described on Delete account.
Deleting or suspending an account may remove access to messages and other records. Keep your own copies of agreements and materials you are entitled to retain. Ending use does not cancel a separate creator-brand agreement, payment obligation or content license already agreed between its participants. Appropriate records may be retained for the limited purposes described in the Privacy Policy. Provisions concerning accrued rights, confidentiality, intellectual property and disputes continue only to the extent their purpose requires.
11. Platform rights and external services
The Clipeo name, design, software and Platform materials are owned by or licensed to the operator, except for user content and materials owned by others. We allow you to access and use them for the Platform’s intended purpose while you comply with these Terms. No ownership in the Platform or another person’s trademarks is transferred to you.
Links, social networks, app stores and external services operate under their own terms and privacy notices. Their availability and actions are outside our control. When using an app distributed through an app store, comply with the applicable store’s terms as well. A link or profile listing does not itself mean endorsement by Clipeo.
12. Availability, warranties and responsibility
We aim to provide a useful service, but features may change and interruptions, maintenance or errors may occur. We may modify or discontinue features, with reasonable notice where practicable. Keep independent copies of important materials.
To the extent permitted by applicable law, the Platform is provided "as is" and "as available," without additional warranties of uninterrupted operation, fitness for a particular purpose or guaranteed campaign results. Clipeo does not warrant a participant’s identity, content, products, performance or payment. No statement here excuses our legal duties.
To the extent permitted by law, the operator is not responsible for losses arising solely from a participant’s separate contract, a participant’s unlawful conduct, or an external service, and is not liable for indirect or consequential loss, such as lost profits or lost business opportunities. Responsibility for our own conduct remains subject to applicable law. Nothing in these Terms excludes liability for fraud, deliberate misconduct, gross negligence, death or personal injury caused by negligence, or any responsibility or remedy that cannot lawfully be excluded. Mandatory consumer and data-protection rights remain available.
13. Questions and disputes
For a question or dispute about the Platform, contact yuriychernin@gmail.com. We encourage a good-faith attempt to resolve the issue, but contacting us is not a mandatory barrier to a claim, an urgent remedy or a complaint to a regulator.
The operator is in the United States. Applicable law, including the relevant conflict-of-laws rules and mandatory protections where you live, determines the governing law and courts with jurisdiction. These Terms do not require binding arbitration, waive class proceedings, impose an exclusive court location or remove a right to complain to a competent authority. Disputes between a creator and a brand remain subject to their own agreement and applicable law.
14. Changes to the Platform or these Terms
This is the current website version. Earlier app releases use the 3 September 2026 Terms. Publishing this version does not change earlier acceptance records.
The date above identifies this version. We may update these Terms to reflect changes in the service or law. Material changes will be brought to users’ attention through an appropriate service notice or account contact where practicable, and we will seek acceptance where required by law. An urgent security or legal change may take effect sooner. Changes do not retrospectively rewrite an acceptance record or a separate collaboration agreement.
If paid features or transaction services are introduced later, their price and conditions will be disclosed separately before a user chooses them. This version does not authorize future charges or automatic paid enrolment. If you do not accept a required update, you may stop using the Platform and request deletion.
15. General terms and contact
If a provision is unenforceable, the remaining provisions continue to apply to the extent permitted by law. A failure to enforce a provision once is not a waiver of it. These Terms govern use of Clipeo; a separately agreed creator-brand contract governs that collaboration and does not bind the operator without the operator’s express agreement.
